1. Acceptance of Terms

By accessing and using the automotive technology services provided by AutoTechs ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.

We reserve the right to update and change these Terms of Service at any time with appropriate notice for material changes. Any new features that augment or enhance the current service shall be subject to the Terms of Service.

2. Description of Services

AutoTechs provides automotive technology solutions including but not limited to fleet management systems, connected vehicle platforms, smart manufacturing MES, EV charging infrastructure, dealership management systems, automotive IoT solutions, and enterprise integration services.

Service availability, features, and performance may be subject to scheduled maintenance, updates, and platform improvements. We provide advance notice for planned maintenance that may affect service availability.

3. User Responsibilities

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

• Provide accurate and complete information when creating an account
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Ensure all content you provide complies with applicable laws
• Not use our services for any illegal or unauthorized purpose

4. Payment Terms

All fees are quoted in US Dollars unless otherwise stated. Payment is due upon receipt of invoice unless other terms have been agreed upon in writing. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

• Fees are non-refundable except as expressly stated in our refund policy
• We reserve the right to modify pricing with 30 days notice
• All applicable taxes are your responsibility
• Disputed charges must be reported within 30 days

5. Intellectual Property

All platform software, algorithms, interfaces, and documentation are the exclusive property of AutoTechs or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your business data processed through our platforms. AutoTechs retains ownership of all platform technology, aggregated analytics, and derived insights that do not contain personally identifiable information.

6. Confidentiality

Both parties agree to keep confidential all information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Confidential information shall not include information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was in the receiving party's possession before receipt from the disclosing party; (c) is rightfully received from a third party without a duty of confidentiality.

7. Limitation of Liability

In no event shall AutoTechs, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

Our total liability for any claims arising out of or relating to these terms or our services shall not exceed the amount you paid us during the twelve (12) months prior to the claim. Enterprise agreements may contain modified liability provisions.

8. Indemnification

You agree to defend, indemnify, and hold harmless AutoTechs and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the services.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the services will immediately cease.

• Either party may terminate services with 30 days written notice
• Outstanding fees remain payable upon termination
• Provisions that should survive termination will remain in effect
• We may retain copies of materials as required by law

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Dispute Resolution

Any disputes arising out of or related to these Terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with applicable arbitration laws.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
